1. Agreement to Terms

By accessing or using the services provided by Yuncheng Yanhu District XiaoFu Network Technology Co., Ltd. (hereinafter referred to as "XiaoFu", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

XiaoFu provides professional technology services including but not limited to:

  • Computer Systems Design and Related Services
  • Computer Integrated Systems Design
  • Professional, Scientific, and Technical Services
  • Management, Scientific, and Technical Consulting Services
  • Scientific Research and Development Services
  • Specialized Design Services

3. User Responsibilities

When using our services, you agree to:

  • Provide accurate and complete information when requested
  • Maintain the confidentiality of any account credentials
  • Use our services only for lawful purposes
  • Not interfere with or disrupt our services or servers
  • Comply with all applicable laws and regulations

4. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the exclusive property of XiaoFu or its licensors and are protected by Chinese and international copyright, trademark, patent, trade secret, and other intellectual property laws.

5. Project Deliverables

For custom development projects:

  • Ownership of deliverables will be specified in individual project agreements
  • Source code ownership transfers upon full payment unless otherwise agreed
  • XiaoFu retains the right to use general knowledge and techniques gained during projects
  • Third-party components remain subject to their respective licenses

6. Payment Terms

Payment terms for our services:

  • Payment schedules will be outlined in individual project proposals or contracts
  • Invoices are due within 30 days of issuance unless otherwise specified
  • Late payments may incur additional fees as specified in the contract
  • All prices are in Chinese Yuan (CNY) unless otherwise stated

7. Warranties and Disclaimers

Our services are provided on an "as is" and "as available" basis. XiaoFu makes no warranties, expressed or implied, regarding:

  • The operation or availability of our services
  • The accuracy, reliability, or completeness of any information provided
  • The results that may be obtained from using our services
  • The correction of any defects or errors

Specific warranties for project deliverables will be outlined in individual project agreements.

8. Limitation of Liability

To the maximum extent permitted by applicable law, XiaoFu shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use our services
  • Any unauthorized access to or use of our servers
  • Any interruption or cessation of transmission to or from our services
  • Any bugs, viruses, or similar harmful code transmitted through our services

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation shall survive the termination of any agreement between the parties.

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service. Upon termination, your right to use our services will immediately cease.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any disputes arising from these terms shall be submitted to the jurisdiction of the courts in Yuncheng City, Shanxi Province, China.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
